BUZZFILE TERMS AND CONDITIONS Latest Revisions: February 20, 2016

1. Introduction

These terms and conditions govern the fair use of any Services which may be provided by Buzzfile Media, LLC ("Buzzfile") to you (the "Licensee") from time to time pursuant to one or more License Agreements (as defined below). These terms and conditions will also retroactively govern the fair use of any services provided in good faith to the Licensee prior to the execution, or following the expiration of, the applicable License Agreement. Capitalized terms used herein but not defined herein shall have the meanings assigned to them in the applicable License Agreement. Notwithstanding any other provision of these terms and conditions, in the event of any conflict or inconsistency between the terms hereof and the terms of a License Agreement, the terms of the License Agreement shall prevail, control and apply. The Services and related materials offered by Buzzfile to the Licensee and its users are conditioned on the Licensee’s acceptance without modification of, and are at all times subject to, the terms and conditions contained herein and in the applicable License Agreement. The Licensee’s use of the Services indicates its acceptance and affirmation of these terms and conditions and the terms of the applicable License Agreement.

2. License Agreement(s)

The Licensee will from time to time enter into one or more License Agreements with Buzzfile (each, as amended, supplemented or replaced from time to time, a "License Agreement") for specific Services offered by Buzzfile. Each License Agreement will more particularly describe and govern the Services and related materials to be provided by Buzzfile to the Licensee pursuant to the terms hereof and thereof. The Licensee hereby acknowledges that from time to time Buzzfile may modify the specific Services and delivery schedules of the Services (as opposed to materially changing the nature of the Services) to be provided without prior notice, and Buzzfile shall not be held liable in any way by the Licensee for such changes. Furthermore, the Licensee acknowledges that this License Agreement relates to the Services and any upgrades or modifications to the Services in the ordinary course. If Buzzfile introduces new services, modules or products during the Term, use of such services, modules or products by the Licensee will require entry into a separate License Agreement. If any portions of the Services are being provided to the Licensee on a “free” or “trial” basis, Buzzfile reserves the right to suspend access to such free or trial Services at any time. Buzzfile shall use commercially reasonable efforts to provide the Services at all times during the Term (subject to normal maintenance or similar down time); provided, however, that any failure to deliver all or a portion of the Services shall not be considered a breach of these terms and conditions or the applicable License Agreement, or entitle the Licensee to any refund of subscription fees.

3. User Information and Restrictions

In consideration of the Licensee’s use of the Services, the Licensee agrees to (a) provide accurate, current and complete registration information on all users and (b) maintain and update this information to keep it accurate, current and complete. Access to the Services is restricted to registered users, using their respective usernames and passwords. Each individual user must enroll separately and complete his or her own registration, unless otherwise agreed to by Buzzfile. The use rights granted under any License Agreement are for the sole benefit of the Licensee and its authorized users, shall be non-transferable and non-assignable, and are not to be, directly or indirectly, sub-licensed in any way. The Licensee also agrees to promptly inform Buzzfile of any circumstances (including but not limited to loss of username and password information, or termination of an employee with knowledge of such information) which make unauthorized use of the Services likely or possible, in order to permit such information to be changed.

Buzzfile reserves the right to use any reasonable methods to monitor the Licensee’s use of the Services to ensure compliance with these terms and conditions and any License Agreement and prevent fraudulent use. Buzzfile reserves the right to limit access to the Services in any reasonable manner. The use of automated methods of retrieving data, including, but not limited to, the use of “bots,” “snakes”, "crawlers" or “spiders,” is prohibited. If monitoring indicates that the Licensee is not in compliance with these terms and conditions or the applicable License Agreement or if fraudulent activity is suspected, Buzzfile reserves the right to take such action as it deems necessary, including, but not limited to, suspension or termination of the Licensee’s subscription.

4. Copyrights and Other Proprietary Rights; Limitations on Use; Confidentiality

The Services and content of www.buzzfilePro.com and Buzzfile Telecom are the property of Buzzfile, its licensors and third parties and are protected by copyright and other intellectual property laws. The Services are licensed for the Licensee’s internal use only, and the Licensee acknowledges and agrees that all right, title and interest in and to the Services and the contents thereof shall remain solely the property of Buzzfile. In no case is the ownership of any of the content, data or information transferred to the Licensee. Content obtained through the Services may be displayed, downloaded, reformatted and printed for the Licensee’s business purposes only to the extent that such displaying, downloading, reformatting and printing is consistent with the provisions of these terms and conditions and the applicable License Agreement. Information accessible through the Services includes proprietary data from Buzzfile as well as data obtained from other third party sources believed to be reliable (collectively, all such Buzzfile data and third party data is referred to as the "Information"). The Licensee will not provide, reproduce, retransmit, distribute, disseminate, sell, publish, broadcast or circulate, whether in written form, electronically, orally or otherwise, Information or other Services to others, whether directly in any media or indirectly through incorporation in a database, list, report or otherwise, or use or permit the use of Information to generate any statistical or other information that is or will be provided to third parties (including as the basis for providing recommendations to others); use or permit the use of Information to prepare any comparison to other information or databases that are or will be provided to third parties; or voluntarily produce Information in legal proceedings, without the express written consent of Buzzfile, except as permitted under the applicable License Agreement, and then any such information must be accompanied by the following attribution:

Without limiting the foregoing, except to the extent permitted under the applicable License Agreement, the Licensee is prohibited from using or extracting any portion of the Services (a) for publication or distribution on the Licensee’s Intranet; (b) to provide online or similar database services to a third party; (c) to provide any services or products that may compete with the Services or any other Buzzfile products or services; or (d) in such a manner as to result in the displacement of an existing Buzzfile sale or subscription, or loss of a potential Buzzfile sale or subscription.

The Information contains proprietary, copyrighted works of Buzzfile and its affiliates, including: (a) works of original authorship, including compiled Information containing Buzzfile’s or its affiliates’ selection, arrangement, coordination and expression of such Information or pre-existing material it has created, gathered or assembled; (b) trade secret and other confidential information, including information that derives value or potential value from not being readily known or available; and (c) information that has been created, developed and maintained by Buzzfile or its affiliates at great expense, such that misappropriation or unauthorized use by others for commercial gain would unfairly and/or irreparably harm Buzzfile or its affiliates or reduce Buzzfile’s or its affiliates’ incentive to create, develop and maintain such information. The Licensee will not commit or permit any act or omission that would contest or impair Buzzfile’s or any affiliate’s proprietary and intellectual property rights in the Information or that would cause the Information to infringe the proprietary or intellectual property rights of a third party. All copies of the Information maintained by the Licensee will include the Buzzfile attribution set forth above.

The Licensee will not use any trademark, service mark or trade name of Buzzfile or any of Buzzfile’s affiliated companies or publish any press releases or make any other announcement, whether in written form, electronically, orally or otherwise, regarding these terms and conditions or any License Agreement, without the prior written approval of Buzzfile.

The Licensee shall implement and maintain security measures with respect to the Information in the Licensee’s possession that effectively restrict access to the Information only to authorized users with a need to know, and protect the Information from unauthorized use, alteration, access, publication and distribution. In no event shall such security measures be less restrictive than those the Licensee employs to safeguard its most confidential information. In the event of an actual or suspected breach of such security measures, the Licensee shall notify Buzzfile within 24 hours. The Licensee agrees that it will not disclose or permit the disclosure to third parties of fees, rates, effective discounts, and user and usage information pertaining to these terms and conditions, any License Agreement or any Services, except as otherwise permitted in writing by Buzzfile or under the License Agreement. The Licensee shall ensure that all authorized users and other recipients of Information are informed of the confidential nature of the Information (which for purposes of this paragraph, includes such fee, rate, effective discount and user and usage information) and shall ensure that they agree to act in accordance with these terms and conditions and the applicable License Agreement. The Licensee shall be responsible for any breach of these terms and conditions or any License Agreement by any party who has received Information through the Licensee, and the Licensee agrees, at its sole expense, to take all reasonable measures (including, but not limited to, court proceedings) to restrain any such party from prohibited or unauthorized disclosure or use of the Information.

Use of the www.buzzfilePro.com web site is subject to Buzzfile’s Privacy Policy, as in effect from time to time, which is posted at www.buzzfilePro.com. The Licensee agrees to advise all users that they are subject to the Privacy Policy.

Upon the expiration of any License Agreement (upon termination, non-renewal or otherwise), the Licensee agrees that it will not, subsequent to such date, use the Services, or the data and information contained therein, obtained under such License Agreement, or any materials or information derived from such Services, in its business or the business of any of its divisions in any way, and that it will destroy all copies of content obtained from such Services (including hard copies and electronic copies) and, upon request by Buzzfile, certify in writing to Buzzfile that all copies of the Buzzfile data have been destroyed and are not being used in any capacity.

Buzzfile represents and warrants to the Licensee that, to Buzzfile’s knowledge, the Information, when used in accordance with these terms and conditions and the applicable License Agreement, does not violate any existing U.S. copyrights, patents, trademarks or other intellectual property rights of any third party, as of the date such Information is delivered by Buzzfile to the Licensee or any of its users. The foregoing warranty does not apply to the extent that the Licensee modifies the Information in any way or combines the Information with material from third parties.

5. Fees

In consideration for use of the Services, the Licensee shall pay Buzzfile the subscription fees set forth in the applicable License Agreement. The Licensee will be responsible for promptly paying or depositing on account all fees relating to its use of the Services. The Licensee’s access to the Services may be suspended or terminated for nonpayment of fees. All fees and charges hereunder are exclusive of any direct taxes. The Licensee will be responsible for any Federal, state or local sales, use, property or other similar taxes imposed on any transaction hereunder, whether such taxes are included in invoices from Buzzfile or otherwise. Buzzfile will be responsible for any tax imposed on any gross receipts, income and net worth or the like.

6. Termination

In addition to any other provisions of these terms and conditions or any License Agreement, either party may terminate these terms and conditions and each License Agreement immediately without prior notice to the other party (a) upon the institution by or against the other party of insolvency, receivership or bankruptcy proceeding or any proceedings for the settlement of the party’s debts; (b) upon the other party’s making an assignment of substantially all of its assets for the benefit of creditors; or (c) upon the other party’s dissolution or cessation of business.

Either party may also terminate these terms and conditions and each License Agreement in the event of a breach of any material representation or warranty of the other party made in these terms and conditions or any License Agreement, or if the other party fails to perform any of its material obligations or undertakings hereunder, and fails to remedy such breach or failure within thirty (30) days after being notified in writing by the non-breaching party of such breach or failure.

The provisions set forth in Sections 4, 7 and 10 of these terms and conditions will survive the termination of these terms and conditions.

7. Disclaimer of Warranties; Limitation of Liability; Indemnification

The Information includes proprietary data from Buzzfile as well as data obtained from other third party sources believed to be reliable. Although Buzzfile and its affiliates use procedures to keep their respective databases current and to promote data accuracy, the Licensee acknowledges that the Information may be incorrect due to delays, omissions or inaccuracies. Buzzfile does not guarantee the accuracy, completeness, timeliness or correct sequencing of the Information, nor do the providers of any third party Information or any parties transmitting the Information. The Licensee agrees that neither Buzzfile, nor any other information providers nor any transmitters of the Information shall have any liability, contingent or otherwise, for any inaccuracy, incompleteness, lack of timeliness or incorrect sequencing of any Information, or for any decision made or action taken by the Licensee in reliance upon the Information or the Services, or for any interruption of any data, information or aspect of the Services.

No part of the Information shall constitute a statement of fact or a recommendation to purchase, sell or hold any securities or other property, and neither the Licensee nor any of its employees, stockholders, partners, representatives or other affiliates shall rely on any of the Information in making any such investment or other decision. The Licensee is solely responsible for the adequacy and accuracy of the Information used by the Licensee and the resultant output and reports thereof and/or actions or inactions taken in reliance thereon.

Buzzfile’s web site and the Services are provided for your internal use only and may not be copied or redistributed for any reason. This Information is provided on an “as is” and “as available” basis, without warranty of any kind. The Information is the intellectual property of Buzzfile or its information providers. Buzzfile, on behalf of itself and any third party information providers, disclaims all express and implied warranties, including warranties of accuracy, completeness, currentness, merchantability, satisfactory quality or fitness for a particular purpose. You are expressly prohibited from using the Information as a factor in establishing an individual's eligibility for (I) credit or insurance to be used primarily for personal, family or household purposes, or (II) employment.

Neither Buzzfile nor any third party information provider will be liable for any damages, including indirect, incidental, special or consequential damages or damages for loss of use, data, profits, revenue, or business opportunities, or failure to achieve cost savings, incurred by the Licensee or any third party, whether in an action in contract or tort or otherwise, even if the Licensee or any other person has been advised of the possibility of such loss, cost or damages, arising out of or in connection with any License Agreement or these terms and conditions.

The Licensee acknowledges that it is the Licensee’s responsibility to perform any scanning or other anti-virus precautions as the Licensee deems necessary. Under no circumstances will Buzzfile be responsible for any loss or damage caused by any Information or other materials downloaded from Buzzfile, and the Licensee assumes full responsibility for all costs associated with all necessary servicing or repairs of any equipment or data the Licensee uses in connection with the Services.

As a condition of the use of the Services, the Licensee, on behalf of itself and each of the Licensee’s users, agrees to indemnify and hold harmless Buzzfile and its affiliates and their respective partners, members, managers, directors, officers, agents, consultants, employees and agents, as well as Buzzfile’s licensors and third party providers, from and against any and all liabilities, expenses (including reasonable attorneys’ fees and costs of investigation) and damages arising out of claims resulting from the Licensee’s (or any of the Licensee’s users’) use of the Services, including without limitation any claims alleging facts that if true would constitute a breach by the Licensee or any of its users of these terms and conditions or the applicable License Agreement.

To the extent permitted by applicable law, the Licensee agrees that the liability of Buzzfile, its agents and licensors, if any, arising out of any kind of legal claim in any way connected with any License Agreement or the Services provided pursuant to any License Agreement, regardless of the cause of the loss or injury and regardless of the legal right claimed to have been violated, shall not exceed the aggregate fees and charges paid by the Licensee to Buzzfile during the twelve month period immediately preceding the date on which the relevant claim accrued. The Licensee acknowledges and agrees that the foregoing limitations on liability are an essential part of the consideration bargained for hereunder and under any License Agreement.

Third parties (including affiliates of Buzzfile) that provide information, software or services to Buzzfile or its affiliates for use in providing the Services are intended third party beneficiaries of this Section 7.

8. Links from the www.buzzfilePro.com Web Site to Third Party Web Sites

The Licensee acknowledges and agrees that Buzzfile and any of its web site affiliates, partners or third party information providers have no responsibility for the accuracy or availability of information provided by web sites to which any of them provide links. Links to external web sites do not constitute an endorsement by Buzzfile, or its web site affiliates, partners or third party information providers, of the sponsors of such sites or the content, products, advertising or other materials presented on such web sites.

9. Acquisition of Other Buzzfile Subscribers

The Licensee hereby agrees that in the event that it acquires, directly or indirectly, whether through a merger, other business combination, stock purchase, asset purchase or otherwise, all or a portion of the business (the “Business”) of another Buzzfile Subscriber (as defined below), such Business (whether as a subsidiary, division or separate entity or otherwise following consummation of such acquisition), following the acquisition, shall not be entitled or permitted to benefit in any way from any Services which Buzzfile may be providing to the Licensee pursuant to the terms of any License Agreement in effect with the Licensee at the time of the consummation of such acquisition. For purposes hereof, “Buzzfile Subscriber” means any entity that, at any time within the 9-month period prior to the consummation of the acquisition of all or a portion of the Business, had a license agreement or other agreement or arrangement with Buzzfile, which entitled it to receive or benefit from services offered by Buzzfile.

10. Governing Law; Venue; Specific Performance

These terms and conditions and any License Agreement and performance hereunder or thereunder will be governed by and construed in accordance with the laws of the State of New York, without giving effect to the conflict of laws provisions thereof. If Buzzfile retains any third party to obtain any remedy to which it is entitled under any License Agreement or these terms and conditions, Buzzfile shall be entitled to recover all costs, including attorneys’ fees or collection agency commissions. Any claims arising out of these terms or conditions or any License Agreement must be brought in a state or federal court located in the City of New York. Each party hereby waives on behalf of itself and its successors and assigns any and all right to argue that the choice of forum provision is or has become unreasonable in any legal proceeding. Each of Buzzfile and the Licensee waives all right to trial by jury in any action, proceeding or counterclaim (whether based upon contract, tort or otherwise) related to or arising out of these terms and conditions or any License Agreement.

The Licensee acknowledges and agrees, on its behalf and on behalf of its users, that it would be difficult to measure damage to Buzzfile from any breach by the Licensee or any of its users of the promises set forth herein, that any such breach may cause irreparable harm to Buzzfile and that money damages would therefore be an inadequate remedy for any such breach. Accordingly, the Licensee agrees, on its behalf and on behalf of its users, that, upon any breach, or threat thereof, of these terms and conditions or any License Agreement by the Licensee or any of its users, Buzzfile shall be entitled to appropriate equitable relief, including injunctions, without the posting of a bond, in addition to whatever remedies it may have at law.

11. Entire Agreement; Amendment and Waiver; Severability

All prior agreements, both oral and written, between the parties on the matters contained in these terms and conditions are expressly cancelled and superseded by these terms and conditions, except to the extent that a License Agreement remains in effect. In no event shall any terms or conditions included on any form of purchase order or similar document provided by the Licensee apply to the relationship between Buzzfile and the Licensee hereunder, unless such terms are expressly agreed to by the parties in writing. Any amendments of or waivers relating to these terms and conditions or any License Agreement must be in writing signed by both parties. No waiver by either party of any breach of any provision of these terms and conditions or any License Agreement shall be or be deemed to be a waiver of any preceding or subsequent breach of the same or any other provision of these terms and conditions or any License Agreement. The failure of either party to enforce or seek enforcement of the terms of these terms and conditions or any License Agreement following any breach shall not be construed as a waiver of such breach. If any provision of these terms and conditions or any License Agreement is invalid or unenforceable under applicable law, it is, to that extent, deemed omitted and the remaining provisions will continue in full force and effect.

12. Miscellaneous

All notices, requests, demands, consents, directions or other communications provided for under these terms and conditions or any License Agreement shall be in writing and be either delivered by courier (e.g., messenger or overnight delivery), delivered by facsimile transmission (“fax”), with confirmed electronic receipt, delivered by email, or sent by means of U.S. certified mail, return receipt requested; if to Buzzfile, at Buzzfile Media, LLC, 357 Timber Hill Dr. Morganville NJ 07751, Attn: General Counsel, Fax: 212-825-1440, and if to the Licensee to the contact address set forth on the signature page of the relevant License Agreement(s) (or, in each such case, to such other address as may be designated by a party in a written notice to the other party). All notices shall, if mailed, be deemed effective two (2) business days after the date deposited in the mail, if emailed, on the date sent, if faxed, on the date receipt of such fax is so confirmed, and, if delivered by courier, on the date delivered.

Neither the Licensee nor Buzzfile shall be, or shall hold itself out as, the agent of the other under these terms and conditions or any License Agreement. No third party shall be deemed to have any privity of contract or direct contractual or other relationship with Buzzfile by virtue of these terms and conditions or any License Agreement or Buzzfile’s delivery of the Services to the Licensee hereunder or thereunder. Likewise, no supplier of any Information included in the Services by Buzzfile shall be deemed to have any privity of contract or direct contractual or other relationship with the Licensee by virtue of these terms and conditions or any License Agreement. Nothing contained herein shall be deemed to create, and the parties do not intend to create, any relationship of partners, joint venturers or agents, as between Buzzfile and the Licensee, and neither party is authorized to or shall act toward third parties or the public in any manner which would indicate any such relationship with the other.

These terms and conditions bind and inure to the benefit of the parties and their successors and permitted assigns, except that neither party may assign these terms and conditions without the prior written consent of the other party; provided, however, that Buzzfile may assign these terms and conditions and any License Agreement to an affiliate or in connection with a merger or consolidation involving Buzzfile (so long as the assignment is to the newly merged or consolidated entity) or the sale of all or substantially all of Buzzfile’s assets (so long as the assignment is to the acquirer of such assets).

The titles and headings of the sections in these terms and conditions and any License Agreement are for convenience only and shall not in any way affect the interpretation of the terms and conditions or any License Agreement.

The Licensee’s use of the Information must in all cases comply with all applicable laws and regulations.

Thank you for visiting BuzzFile.com (the "Site"), an BuzzFile (together with its affiliates, " BuzzFile ", "us," "our," or "we") website. Your privacy is important to us. To better protect your privacy, we provide this notice explaining our online information practices and the choices you can make about the way your information is collected and used at the Site and in connection with the various services and software products we provide on or through the Site (collectively the "Services"). This Privacy Policy is hereby incorporated in our Terms of Use and by using the Site and Services, you accept the terms of this Privacy Policy. If you do not accept the terms of this Privacy Policy, please do not use any of the Site or Services.

WHAT WE TRACK

Every computer connected to the Internet is given a domain name and a set of numbers known as the "Internet Protocol" IP address. Like most web servers, when a visitor requests a page from the Site, our servers automatically recognize and log his/her domain name and IP address, along with the access times, referring web sites, platform, and browser type. The information collected is not personally identifiable (as described below) and is used only to provide statistics about usage of the Site in the aggregate to improve the quality of the Site and Services, to better understand how people interact with us, to deliver advertising and measure its effectiveness, to provide advertisements about goods and services that may be of interest to you, or to cooperate with law enforcement. We may use third party contractors to collect and aggregate such information. Additionally, please note that none of the Services include "spyware," meaning the Services do not run any background processes that report information about your software or hardware configuration or your web browsing or purchasing habits.

HOW WE TRACK IT

The Site and Services use either cookies and/or registry settings on your computer to store user information. A "cookie" is a small file containing a string of characters that is sent to your computer when you visit a website. Additionally, some ad networks may use web beacons in conjunction with cookies to compile aggregate statistics about usage on the Site. A web beacon is a transparent image, typically in GIF format that can recognize certain types of information on a visitor's computer, such as a visitor's cookie number, time and date of page view, and a description of the page where the web beacon is placed. PERSONALLY IDENTIFIABLE INFORMATION

Personally identifiable information is information you provide to us that is uniquely associated with you, including your first and last name, a home or physical address, email address, telephone number, work information including company name, title phone number, email address, physical address, website URLs. Information identifying an entity other than an individual (e.g., a school or library) does not constitute personally identifiable information and is treated the same as anonymous information discussed in this privacy policy. Although you are not required to provide any personally identifiable information to use most parts of the Site or Services, registration and full utilization of some of our Services do require that you provide certain personally identifiable information. For example, personally identifiable information you might provide could include your contact information if you participate in a promotion or sweepstakes, your email address if you are registering for BuzzFile.com or requesting BuzzFile’s highlights or newsletters or if you submit a help request to us via email or respond to employment opportunities posted on the Site. Other personally identifiable information you might provide may be posted on the public portions of the BuzzFile Site under the relevant company’s profile, including your role at the company, work related phone number, email address and physical address. We have put in place procedures reasonably designed to safeguard and secure the information we collect online. In accordance with the United States' Children's Online Privacy Protection Act of 1998, as amended, we do not knowingly collect personally identifiable information from anyone under the age of 13.

INFORMATION SHARING DISCLOSURE

In addition to using the anonymous identifying information that we track for internal purposes in the manner describedabove, this information may also, on an aggregate basis, be shared with and used by third parties with which we have contracted (e.g., our third-party content providers and licensees of BuzzFile's services). Furthermore, in addition to BuzzFile providing its own advertising, BuzzFile uses third-party advertising companies and networks to serve ads when you visit the Site. These companies and networks include, among others, third party ad servers, ad agencies, ad technology vendors, and research firms. These companies and networks may use information (not including your name, address, email address, or telephone number) about your visits to the Site in order to provide advertisements about goods and services of interest to you. In the course of serving advertisements to the Site, our ad networks may place or recognize a unique "cookie" on your browser or use a "web beacon." An example of such ad network is Google, Inc. This is also known as online behavioral advertising. Although BuzzFile currently does not utilize any advertising networks, it reserves its right to do so in the future. Please note that ad networks' use of cookies or web beacons, and that of any other third-party that has a link available on any Site, is subject to their own privacy policies and not this privacy policy. These Terms of Use (the "TOU") state the terms and conditions under which Buzzfile Media LLC and its affiliates (collectively, "Buzzfile," "our" or "us") provide you ("you," or "your") access to the Buzzfile.com site (together with any sub-domains thereto and future sites operated by Buzzfile, the "Site," which defined term includes the Services and Software, each as defined below).

DESCRIPTION OF THE BUZZFILE SITE, SERVICES, and SOFTWARE

BuzzFile provides users with access to a rich collection of resources, including but not limited to, company and business information, other reference data, alerts, and a platform where users can individually and collaboratively post information, communicate and interact with other users. Unless explicitly stated otherwise, any modifications, updates, new features, or enhancements to the current Service are also subject to the TOU.

For purposes of this BuzzFile Site, "BuzzFile" means BuzzFile Media LLC, its subsidiaries, affiliates, divisions, contractors, successors, assigns and all of its and their information providers and suppliers.

The services, including all content, information, data, widgets, RSS feeds, alerts, and software applications, available on or through the BuzzFile Site ("Service") are the proprietary, copyrighted works of BuzzFile and comprise: (i) works of original authorship, including compiled information containing BuzzFile's selection, arrangement and coordination and expression of such information or pre-existing material it has created, gathered or assembled; and (ii) trade secret and other confidential information.

ACCEPTANCE OF TERMS; CHANGES TO TOU

BuzzFile provides the Service to you subject to the following TOU, which may be updated by us from time to time in our sole discretion. Each time changes are made to the TOU, a revised TOU will be posted on the Site. Your continued use of the Service, or any part thereof, following the posting of changes constitutes your acceptance of such changes. If you do not wish to be bound by the TOU, you should discontinue your use of the Service.

BuzzFile may change or discontinue any offering or feature on the BuzzFile Site at any time and without notice. You may use the BuzzFile Site only when and as available. BuzzFile reserves the right from time to time to temporarily or permanently modify or discontinue, and restrict or block access to, the BuzzFile Site (or any part thereof) without notice. We may temporarily or permanently modify or remove any part or all of your Postings from the Site at any time without any notice to you. We will not be liable to you or any third party for any such modification, suspension, discontinuance or removal and any such action by us will not affect BuzzFile's license to your Postings as stated herein.

YOUR LICENSE TO USE THE SERVICES

The BuzzFile Service is available to individuals who are at least 18 years old, or the legal age required to enter into a binding contract in your jurisdiction if that age is greater than 18. By using the Site, you represent and warrant that you are at least 18 years old and of legal age to form a binding contract, and you hereby ratify any prior grant of rights, consents, agreements, assignments and waivers made by you. BuzzFile may refuse to offer the Service to any person or entity and may change its eligibility criteria, at any time, in its sole discretion.

BuzzFile grants you a personal, non-exclusive, non-transferable, revocable license to use the BuzzFile Site and Service. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit any of the data included in the Service, in whole or in part. Furthermore, you may not use any information or data accessed, viewed, retrieved, downloaded or collected from the BuzzFile Site and Services to create, improve, change, or update other databases or websites which offer similar purposes and user platforms as BuzzFile, including but not limited to, any competitors of BuzzFile. You may download insubstantial portions of data for your personal use only. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication, broadcast, circulation, dissemination or commercial exploitation of downloaded data will be permitted without the express permission of BuzzFile. In the event of any permitted copying, redistribution, or publication of data, no changes in or deletion of attribution, trademark legend, copyright notice, links or TOU shall be made. You acknowledge that you do not acquire any ownership rights by downloading any data or retrieving any form of information from the BuzzFile site.

Except as otherwise expressly permitted in this Agreement, you may not: (i) decompile, reverse engineer, reverse assemble or otherwise attempt to discover any source code or bypass or circumvent measures employed to prevent or limit access to any area, data or code of the BuzzFile Site, except as otherwise permitted by applicable law; or (ii) remove or alter any trademark, logo, copyright or other proprietary notices, legends, symbols or labels on the Service. You may not access the Service by any means other than through the interface that is provided by BuzzFile; or (iii) use or permit the use of the Service to prepare an original database or a comparison to other databases that are sold, rented, published, or furnished in any manner to a third party; (iv) use or permit the use of the Service for the purpose of compiling, enhancing, verifying, supplementing, adding to, or deleting from any mailing list, business directory, or other compilation of information that is sold, rented, published, or furnished in any manner to a third party; (v) access, tamper with, or use the Service or areas of the BuzzFile Site that you are not authorized to access. Furthermore, you may not use the Service in any manner that could damage, disable, overburden, or impair the Service (e.g., you may not access the Service in an automated manner by systematic access or extraction of data, or by use of "spiders", "robots", "scrapers" or otherwise), nor may you use the Services in any manner that could interfere with any other party's use and enjoyment of the Service. You are not permitted to retrieve and store in electronic or any other form any material part of the databases underlying the Service. All commercial and/or unauthorized use of the Service is strictly prohibited. You agree not to use or resell the Service for any commercial purpose, including, but not limited to, sending unsolicited commercial messages.

BuzzFile prohibits the caching of the BuzzFile Site. BuzzFile retains the right to limit complete access to or the amount of access to the BuzzFile Site and Services. BuzzFile also retains the right to disable any unauthorized links or frames.

The Service remains at all times the sole property of BuzzFile, and its use is subject to the copyright and trademark notices that are found at the bottom of every page on the BuzzFile Site. All rights in the Services not expressly granted to you by BuzzFile under the TOU are retained by BuzzFile.

POSTING TO THE BUZZFILE SITE

BuzzFile provides users the ability to post to and interact with the BuzzFile Site to inform, to promote knowledge exchange among BuzzFile users, and to create a more accurate, timely, relevant, convenient, and comprehensive Service that all users benefit from. Additionally, BuzzFile permits individuals to use the information provided by the Service to create unique and personal lists, displays, categories, or other means of organization desired by the user. These unique lists, displays, categories or other means of organization may be public or private and may be changed by other users and/or BuzzFile. You agree to uphold these objectives to the best of your ability when posting to the BuzzFile Site. By posting on the BuzzFile Site you represent and warrant that the Postings are true, timely, relevant and that you own or have express permission to post the materials on the BuzzFile Site and you agree to indemnify and hold BuzzFile harmless from all claims, costs and expenses (including legal expenses) arising out of any Postings posted or published by you that are in breach of this TOU and BuzzFile policies in general.

BuzzFile may permit you to post, submit, create, transmit, email, or otherwise make available business information, lists, categories, pictures, videos, links or other information (collectively, "Postings"). You may only submit Postings that you created or that you have permission to submit and that do not violate copyright, trademark, or any other rights of third parties. We do not claim ownership of any Postings that you may submit. However, by submitting Postings to the BuzzFile Site, you grant us, our subsidiaries, affiliates, successors, and assigns a perpetual, irrevocable, worldwide, royalty-free, fully-paid, non-exclusive, and sub-licensable license to use, copy, display, distribute, modify, adapt, publish, translate, make derivative works, publicly perform and publicly display the Postings (in whole or in part) and to incorporate the Postings into other works in any format or medium now or later known and otherwise use such Postings in any form. . By submitting Postings to the BuzzFile Site, you also grant other users of BuzzFile free permission to view and use your Content. BuzzFile owns all rights in any complication and collective works of content as organized, presented, and retained by BuzzFile. Users of the BuzzFile site, both those who actively submit Postings and those who utilize the Service and Postings of other users, are further prohibited from degrading, vandalizing, detracting, or further damaging the information provided by the Service or that which is created by other users.

Business owners may post, correct, or add to only the pages describing their specific business. Business owners may post additional information about their business including but not limited to links to their site or their social media pages, hours of operations, additional contacts, detailed products & services, logos, photographs or other relevant images, advertisements, coupons and promotions. If you, as the business owner, post advertisements, coupons, and promotions on the BuzzFile site, you represent and warrant that you have authority to offer and honor such advertisements, coupons, and promotions. Business owners are explicitly prohibited from posting or inducing others to post on the pages of other businesses in the same line of business or their competitors in anyway. Business owners are further explicitly prohibited from changing the information of other businesses for their own benefit, including but not limited to vandalizing or causing damage to the operations or reputation of other businesses or adding false content which misrepresents the services of other business to be something they are not. Business owners are further prohibited from misusing the Service or misrepresenting information solely to benefit the business owner including but not limited to listing their businesses in inappropriate lists, categories, locations, etc. so as to increase their businesses exposure Without limitation of other representations, warrants, and indemnities elsewhere within the TOU, you specifically agree to indemnify BuzzFile against any claims by users, businesses or entities of the Service that the terms of these advertisements, coupons or promotions offered were not honored or due to your act of Posting on or inducing others to post on pages of other businesses in the same line of business or your competitors.

You may not post, upload, submit, email, transmit, or otherwise make available any Postings that:

are unlawful, obscene, defamatory, harmful, libelous, threatening, pornographic, vulgar, harassing, hateful, racially or ethnically offensive, or encourage conduct that would be considered a criminal offense, invasive of another's privacy, give rise to civil liability, violate any law (including but not limited to local, state, national, international), or are otherwise inappropriate;

impersonate any person, business or entity on the BuzzFile Site or when communicating with BuzzFile employees, disguise the true origin of the Posting, or falsely state or otherwise misrepresent your affiliation with a person, business or entity;

contain inside information, confidential information, proprietary information or any other information you do not have a right to transmit under law or through contractual or fiduciary relationships or that infringes on trade secrets, copyrights or patents of any party;

violate the rules and regulations of the U.S. Securities and Exchange Commission and the national or other securities exchanges, including but not limited to NYSE, NASDAQ and AMEX;

contain falsehoods or misrepresentations that could damage any person, business, entity, BuzzFile or any other third party;

contains viruses, adware, spyware or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or network or telecommunications equipment;

disrupt, harm or Interfere with BuzzFile, the BuzzFile Site, the Service or networks connected to the Service or access or attempt to access any unauthorized, password protected or otherwise secure areas of the BuzzFile Site, Service or network;

harvest, collect or store personal information of any user, business or entity or otherwise invade their privacy;

contain advertising, promotions, or other forms of solicitation including chain letters and pyramid schemes;

contain any unsolicited email, text messages, instant messages or other bulk communication (Spam), or facilitate in any way the sending of unsolicited bulk communications to any BuzzFile user, business or entity;

violate, or induce or allow others to violate the TOU.

You acknowledge that BuzzFile is not obligated to pre-screen content submitted by users, businesses or entities but that BuzzFile shall have the right (but not the obligation) in their sole discretion to refuse or remove any Posting that is made available on the BuzzFile Site or Service by any user that violates the TOU or is otherwise objectionable. You further acknowledge that Postings that violate the TOU, the rights of others, or any applicable law or regulation, may result in civil or criminal liability. You represent and warrant to that your conduct on the BuzzFile Site will at all times comply with the TOU.

PREMIUM SERVICES FOR BUSINESS USERS

BuzzFile may offer an optional fee-based service for verified and registered business users to have certain additional features and extra services. A credit card will be required to sign up for such services when and if they become available on the BuzzFile Site. All requests to become a premium business user is subject to approval by BuzzFile, which in its sole discretion may reject any such user for any reason.

Any such fees paid to BuzzFile for premium services will be non-refundable. You may reserve your right to cancel your subscription to such premium access at any time, effective after your subscription term has ended (monthly or annually). If you cancel your subscription at any time, you agree that BuzzFile retains sole discretion in refunding any portion of the subscription fee, if at all.

Premium service users agree to pay the applicable fees and charges for such service. BuzzFile may limit the number of promotions for which you may be eligible in a given period. You are required to provide BuzzFile with accurate billing and payment information and to keep this information up to date for continued receipt of such premium service. You agree that any submission you make for electronic purchases constitute your intent and agreement to be bound by the terms of and pay for such purchases.

You have the sole responsibility in notifying BuzzFile for any billing problems or discrepancies within 60 days after they first appear on the statement you receive from your bank. If you do not bring such problems or discrepancies to our attention within 60 days, you agree that you waive the right to dispute such problems or discrepancies.

ADVERTISEMENTS

BuzzFile may include advertisements on the Service, which are necessary for BuzzFile to provide all or portions of the Service to its users free of charge. Your correspondence or business dealings with, or participation in promotions of, advertisers or third party vendors found on or through the Service, including payment and delivery of related goods or products, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertiser or third party vendor. Any question, complaints, or claims should be directed to the appropriate advertiser or third party vendor. Additionally, all company and product reviews and ratings are informative for those wishing to use them, but they do not guarantee any level of performance by a third party vendor in any transaction. You agree that BuzzFile shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers or third party vendors or product reviews or ratings on the Service.

Users of the Site will be liable for any damage to BuzzFile reputation or relationship with advertising partners due to their intentional and malicious misuse of such features of the Site. Users may click only ads of interest to them and are prohibited from spamming or using advertising links on the BuzzFile Site in any inappropriate manner. Users may not use software or robots to strip the advertisements from the Site, hide them from the public, change their appearance or location, or degrade them in any other manner. Such use of the Site will be considered a violation of this TOU and legal action will be taken against users who violate this provision of the TOU, where applicable.

This policy only addresses the Service. The Service may provide, or third parties may provide, links to other World Wide Web sites. Additionally, in many cases, co-branded services that are jointly provided by BuzzFile and selected companies will contain the Service's branding, but might not be hosted by BuzzFile. Because BuzzFile has no control over such sites, you acknowledge and agree that BuzzFile is not responsible for the availability of such external or co-branded sites, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials on or available from such sites. You should not attribute any views or information on such sites to BuzzFile. You further acknowledge and agree that BuzzFile shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such data, goods or products available on or through any such linked site. You should follow the link to the terms of use on the appropriate page for such sites to determine which company's terms of use govern such sites.

INDEMNIFICATION

You agree to indemnify and hold BuzzFile, its subsidiaries and affiliates, and their respective officers, directors, employees, and agents harmless from and against any and all liability, losses, claims, demands or costs of any kind, including reasonable attorneys' fees and costs of litigation, arising from (i) your Postings or other content you submit, post, transmit, email, or otherwise make available through the Service, (ii) your use of or reliance on the Service, (iii) your connection to the Service, (iv) your violation of the TOU, or (v) your violation of any rights of another party.

TRADEMARK INFORMATION

The BuzzFile.com and other Service names, trademarks and logos are trademarks of BuzzFile or its third-party licensors. Without our written prior permission, or that of applicable third parties, you agree not to display, or use in any manner, the marks of BuzzFile. The trademarks, logos, and service marks not owned on behalf of BuzzFile and that are displayed on the Service are the registered or unregistered marks of their respective owners. No rights are granted by BuzzFile to use such marks, whether by implication, estoppel, or otherwise.

CHOICE OF LAW AND FORUM

The TOU and the relationship between you and BuzzFile shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You and BuzzFile agree to submit to the personal and exclusive jurisdiction and forum convenience of the federal and state courts located in New York, New York.

SEVERABILITY; ENGLISH LANGUAGE

If any provision in the TOU should be held illegal or unenforceable by a court of competent jurisdiction, such provision shall be modified to the extent necessary to render it enforceable without losing its intent, or severed from the TOU if no such modification is possible, and the other provisions of the TOU shall remain in full force and effect. LOCATIONS OUTSIDE THE U.S.

ENTIRE AGREEMENT

The TOU constitute the entire agreement between you and BuzzFile and govern your use of the Service, superseding any prior agreements between you and BuzzFile. Please note, however, that some Services may have additional or different terms related specifically to such Service only ("Service Terms"). The Service Terms are in addition to the general terms and conditions in the TOU. If there is any conflict between the TOU and the Service Terms, the Service Terms will govern with respect to that particular Service. Some terms contained in the TOU may not be applicable to a particular Service, in which case, such inapplicable terms will not apply to you with respect to that particular Service.

TERMINATION

If you violate the letter or spirit of this Statement, or otherwise create risk or possible legal exposure for BuzzFile, we can stop providing all or part of the Services associated with BuzzFile to you. We will notify you by email or at the next time you attempt to access your account. You may also delete your account or stop your access of this site. In all such cases, this TOU may still be applicable.

Thank you for visiting BuzzFile.com (the "Site"), an BuzzFile (together with its affiliates, " BuzzFile ", "us," "our," or "we") website. Your privacy is important to us. To better protect your privacy, we provide this notice explaining our online information practices and the choices you can make about the way your information is collected and used at the Site and in connection with the various services and software products we provide on or through the Site (collectively the "Services"). WHAT WE TRACK

Every computer connected to the Internet is given a domain name and a set of numbers known as the "Internet Protocol" IP address. Like most web servers, when a visitor requests a page from the Site, our servers automatically recognize and log his/her domain name and IP address, along with the access times, referring web sites, platform, and browser type. HOW WE TRACK IT
